Engineers and Geoscientists British Columbia is currently searching for a Board Governance Specialist to join our team in Burnaby! 

The Board Governance Specialist is instrumental in ensuring the smooth operation of Board functions and ensuring the board operates in accordance with best practices and standards of corporate governance. The Board Governance Specialist is a leader, advisor and champion on matters related to board governance policies and procedures. 

The role operates with a large degree of independence, exercising discretion and good judgment as it applies strong governance practice into the planning and facilitation of the governance functions of the Board and its committees. This includes the coordination of the Board’s annual work plan, and full cycle of meeting planning and preparation from agenda development, meeting logistics, and documentation management.

WHAT YOU WILL BE DOING 

  • Providing advice on governance best practices and assisting in enhancing overall governance processes.
  • Communicating and collaborating with the Board Chair to ensure effective and efficient Board meetings, solicit feedback and propose recommendations for ongoing improvement of Board operations.
  • Serving as the key liaison between the Board, management and stakeholders on Board-related matters.
  • Responsible for the planning and execution of the annual Board cycle.  Develops and manages the Board workplan, facilitates six Board meetings annually, including the production and distribution of agendas and other documentation, and manages additional meeting logistics.
  • Owns the annual process for appointment of Board members to subcommittees.  Develops a survey, analyzes results against the skills matrices, consults with senior staff support and provides recommendations for consideration to the Board Chair and CEO.
  • Leads the Board Onboarding process, including orientations for new Board members, the Chair/Vice Chair, and Board Chair/CEO. Develops and maintains the onboarding manual.
  • Responsible for reviewing and maintaining Board documents, governance policies and records through approved organization applications such as OneDrive and SharePoint.
  • Responsible for organizing and coordinating the Human Resources Oversight Sub-Committee, Governance Sub-Committee, and Nomination Committee meetings. Develops the meeting schedule, facilitates the development and compilation of agenda packages, and creates meeting minutes.
  • Responsible for planning Board functions held during the Annual General Meeting and Conference and is the key point of contact for the Programs and Continuing Education Team.
  • Delivers executive administrative support to the Board and Board Chair. This encompasses board calendar development and management, administration of board expenses/honorariums, scheduling of board training, managing correspondence and communication, board and sub-committee document management, and other board-related tasks as needed.
  • Semi-frequent day travel may be required; overnight travel occurs 1-2 times per year.
  • Other duties as assigned by the CEO.

WHAT YOU BRING TO THE TABLE 

The successful applicant will possess the following: 

  • Bachelor's degree in business administration, political science, or a related field is preferred.
  • 5-7 years of related experience providing coordination and high-level support for Boards and senior leaders.
  • 5+ years of experience organizing, planning, coordinating, and facilitating meetings for Boards and sub-committees.
  • 3+ years of specific experience working in board governance. 
  • Proficiency in core MS Office programs (Word, Excel, Powerpoint, Outlook, Teams, OneDrive, SharePoint, Forms) and PDF editing software such as Foxit and Adobe Acrobat.
  • Experience hosting and facilitating virtual meetings on platforms such as Teams and Zoom.
  • Strong communication skills, both written and verbal. Business writing skills are an asset.
  • Organizational skills and attention to detail.
  • Proven experience handling sensitive and confidential information with discretion and maturity.

This role offers a competitive compensation and benefits program including a salary within our hiring range of $75,000 to $84,000. Placement within the hiring range will be based on candidate experience relative to the requirements of the role.
